Use/Registration Agreement

Signato Tools is a third party analytics aggregator and automation service built for use with Amazon third-party seller accounts. Signato, LLC provides these services, for a fee. Below outlines the agreement that you enter into by using our website and our services. This outline does not solely embody our policies, procedures, and terms, and so should be used as a guide. These terms may change at any time.

Refunds, Returns and Cancellations

Due to the nature of our servers and networks, Signato cannot, and will not, offer a refund for services that have already been rendered to our customers. We may, in our sole discretion, provide a pro-rated refund for monthly subscriptions with remaining time left on their account. For yearly accounts, a pro-rated refund is only available for the first 30 days of the cycle. After this initial trial period, the sale becomes final and a refund will not be issued. For monthly subscription cycles, the pro-rated refund amount will be calculated at the time of cancellation by our automated system.

Subscription Upgrades and Downgrades

It is possible to upgrade your subscription through the 'account' page. Users that choose to upgrade will be charged a pro-rated amount immediately, and will be unable to downgrade until the current billing cycle is complete. Upon downgrading, please note that your current templates for emails and repricing will be wiped so as to comply with your new subscription level. If you wish to keep this data, it is recommended that you first generate a backup in the uploads area of the site. Signato is not responsible for loss of data arising from the use of the upgrade/downgrade system.

Payment Information

You agree to provide us with valid payment information for your account. If your payment information is declined, invalid, fraudulent, or otherwise not usable as a form of payment, we reserve the right to terminate your account immediately, along with any data associated with it. We may, in our sole discretion, provide a grace period for users that need more time to make a payment on their account. Please contact us if you are planning on missing a payment.

How Am I charged?

Your payment method will be charged either annually or monthly, on the same date or day that you signed up. If you signed up on June 9th for a monthly account, your next bill would be July 9th. Monthly accounts may cancel at any time, for any reason, through the 'account' page while logged in. Yearly accounts may cancel only within the first 30 days of signing up. Accounts that cancel within this period of time will be provided a pro-rated refund. After the initial 30 day period, yearly accounts will lock-in and become ineligible for a refund or change in subscription of any type.

Commercial accounts are only available for month-to-month subscriptions and will be assessed a charge of 1% of the account's cumulative monthly Amazon gross sales for the previous billing period, as calculated by our system (This amount is billed in two payments - the first being the monthly commercial charge, the second being the remainder due after the commercial charge is paid) If 1% of the user's gross sales amount for the previous billing period is less than the current monthly commercial charge, then that user will be instead be assessed the minimum monthly commercial charge as set forth on the pricing page at the time of registration.

Service Agreement

You agree not to use Signato Tools for any malicious purposes. Users found harassing or abusing buyers on the Amazon marketplace via their Signato Tools automations will be banned immediately from our services, without discretion. You agree not to send fraudulent, frivolous, threatening, harassing, or similar types of electronic communications through our services, and agree to employ good business practices through your Signato Tools account. Signato reserves the right to, at its sole discretion, terminate your account without refund at any time, for any reason, including misuse or abuse of the system.

Disputes & Arbitration

By using Signato, you agree to waive your right to trial in a court of law if a dispute between you and Signato arises. In the event a dispute does arise between you and Signato, you agree to first contact Signato to attempt to solve the situation amicably without third party interaction. If the dispute escalates, and the two parties (You, Signato) are unable to come to a resolution, you agree to settle the dispute at a specified location and time selected by Signato, with an arbitrator appointed by Signato. This settlement shall not penalize Signato's financials or intellectual property, and results of the arbitration shall not result in payments in excess of the amount of money paid to Signato by the customer for services rendered.

Limitation of Responsibility

Though our systems have been thoroughly designed by professional engineers, and must pass a series of tests before being released, Signato does not claim to be flawless. In the event an error or glitch occurs that results in any type of loss or damages, you agree to absolve Signato of all responsibility, financial or other, that may arise. By using Signato, you also agree to not hold Signato or its subsidiaries fiscally or otherwise liable for any financial errors, mistakes, hacking attempts, glitches, or similar events that may arise from the use or misuse of our services. Signato does not indemnify against issues or errors that may occur, including (but not limited to) those that could possibly result in a financial or physical loss of revenue, product, or similar for the user of the system. Furthermore, by using our services, you agree to not hold liable Signato or its subsidiaries for any loss of data arising from glitches, acts of God, use/misuse of the service, hacking, or other events that may occur that result in a loss or breach of data.
